These Terms of Service ("Terms") govern your access to and use of GabbaiPro, a multi-tenant SaaS platform operated by Nerav Labs, Inc. ("GabbaiPro", "we", "us"). By creating an account or using the platform, you agree to these Terms on behalf of yourself and the organization you represent.
GabbaiPro is a multi-tenant SaaS platform that gives synagogues a private workspace for member management, billing, donations, gabbaim workflows, and communications. Each synagogue operates within its own tenant environment, isolated from other organizations on the platform.
You must be at least 18 years old and have authority to enter into this agreement on behalf of your organization. By accepting these Terms, you represent that you have that authority.
GabbaiPro may offer free trial or pilot periods at our discretion. Trial terms, duration, and feature access will be described at signup. At the end of a trial, the account must convert to a paid subscription or data will be retained for 30 days before deletion.
GabbaiPro subscriptions are offered on monthly or annual billing cycles. Current plan pricing is published at gabbaipro.com/pricing. We may update pricing with 30 days' advance notice to existing subscribers.
Subscription billing is processed by Stripe. By providing payment credentials, you authorize GabbaiPro to charge your designated payment method on a recurring basis for your selected plan and any applicable add-ons.
Prices do not include applicable taxes. You are responsible for any sales, use, value-added, or similar taxes imposed by your jurisdiction.
If a payment fails, we will notify you and retry. If payment is not resolved within 14 days, we may suspend access to your workspace. Data is retained for 30 days after suspension before deletion.
All subscription fees are non-refundable except as required by applicable law or as otherwise expressly agreed in writing. Unused portions of a billing period are not credited upon cancellation.
Optional add-ons (High Holiday seat module, SMS reminders, custom domain) are billed in addition to your base subscription. Add-ons may be enabled or disabled from your account settings.
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at support@gabbaipro.com if you suspect unauthorized access.
You agree to provide accurate, current, and complete information when creating your account and to keep that information updated.
You control access to your tenant workspace. You are responsible for the acts and omissions of all users you authorize to access your account, including synagogue staff, administrators, and gabbaim.
You are responsible for obtaining all necessary consents and permissions from your congregants before entering or processing their personal data in GabbaiPro. You represent that your use of GabbaiPro to process congregant data complies with applicable privacy laws.
GabbaiPro is provided for lawful synagogue and congregation operations. You may use the platform to manage member records, process authorized payments, send communications to your members, and conduct other legitimate organizational activities.
You may not: (a) use the platform for any unlawful purpose; (b) attempt to gain unauthorized access to other tenants' data or to GabbaiPro's systems; (c) reverse-engineer, decompile, or attempt to extract source code from the platform; (d) use the platform to transmit spam, malware, or other harmful content; (e) resell or sublicense access to the platform without written authorization; (f) use the platform in a way that causes disproportionate load or disrupts other users.
We may suspend or terminate accounts that violate these Terms without prior notice if the violation poses a security risk or legal liability, or with reasonable notice for other violations.
Your organization retains ownership of all data you enter into your GabbaiPro workspace, including member records, financial history, and communications. GabbaiPro does not claim ownership of your content.
You grant GabbaiPro a limited, non-exclusive license to store, process, and transmit your data solely to provide the platform to you. This license ends when you delete your data or close your account.
You may export your workspace data at any time from within the platform. Upon account cancellation, you have 90 days to export your data before it is deleted from our systems.
Congregant payments collected through your GabbaiPro portal are processed by Stripe and settled directly into your synagogue's connected bank account. GabbaiPro does not hold, custody, or commingle congregant funds.
Payment processing is subject to Stripe's Connected Account Agreement and Terms of Service. By using payment features, you agree to Stripe's terms. GabbaiPro is not a party to the payment transaction between your synagogue and your congregants.
Stripe processing fees (charged by Stripe) are separate from GabbaiPro subscription fees. A platform margin may apply as disclosed in your plan details. The Pro plan includes Stripe fee reimbursement as specified at gabbaipro.com/pricing.
Your synagogue is responsible for managing payment disputes, refunds, and chargebacks with your congregants and through Stripe's dispute resolution process. GabbaiPro may assist with documentation but is not a party to financial disputes.
The GabbaiPro platform, including its software, design, features, and documentation, is owned by Nerav Labs, Inc. and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership interest in the platform.
If you submit suggestions, feedback, or ideas about GabbaiPro, you grant us a perpetual, irrevocable, royalty-free license to use that feedback to improve the platform without any obligation to you.
You retain all intellectual property rights in content you create and store in your GabbaiPro workspace, such as custom templates, announcements, and reports.
GabbaiPro targets high availability but does not guarantee uninterrupted service. We reserve the right to perform maintenance, which may cause temporary downtime. We will provide advance notice for planned maintenance where reasonably possible.
Email support is included on all plans. Response times vary by plan tier. Support is available in English. Premium onboarding and migration assistance are available as paid add-ons.
We may modify, update, or discontinue features of the platform at any time. We will make reasonable efforts to notify users of material changes that affect core functionality.
GabbaiPro is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the service will be error-free, uninterrupted, or free of harmful components. Your use of the platform is at your own risk.
To the maximum extent permitted by applicable law, GabbaiPro and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, or business interruption, arising from your use of or inability to use the platform.
In no event will GabbaiPro's total cumulative liability to you exceed the greater of (a) the fees you paid to GabbaiPro in the 12 months prior to the event giving rise to liability, or (b) $100 USD. Some jurisdictions do not allow certain liability limitations; in those jurisdictions, liability is limited to the fullest extent permitted by law.
You agree to defend, indemnify, and hold harmless Nerav Labs, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from: (a) your use of the platform in violation of these Terms; (b) your organization's failure to obtain required consents from congregants; (c) your breach of applicable laws; or (d) content or data you submit to the platform.
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. We recommend exporting your data before cancellation.
We may terminate or suspend your account for material breach of these Terms, non-payment, illegal activity, or actions that harm other users or the platform. We will provide reasonable notice where circumstances permit.
Upon termination, your right to access the platform ceases. Your workspace data will be retained for 90 days, during which time you may request an export, then permanently deleted. Sections of these Terms that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions. Any disputes arising under these Terms will be resolved through binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm. Class action and jury trial rights are waived to the extent permitted by law.
We may update these Terms from time to time. We will notify you of material changes by email or by posting a prominent notice on gabbaipro.com at least 14 days before the updated Terms take effect. Continued use of GabbaiPro after the effective date constitutes your acceptance of the updated Terms.
